Universal Health Services has entered into a definitive agreement to acquire Talkspace for $5.25 per share in a transaction valued at approximately $835 million. The acquisition will be financed through borrowings under Universal Health Services’ existing revolving credit facility.

Talkspace operates a virtual behavioral healthcare platform with a network of about 6,000 licensed professionals serving all 50 states, Washington, D.C., and Puerto Rico. The company’s services are available through health insurance plans, employee assistance programs, and benefits offered by employers, schools and government agencies.

As of December 31, 2025, Talkspace’s services were accessible to more than 200 million individuals. The company generated $229 million in revenue in 2025 and provided more than 1.6 million therapy and psychiatry sessions during the year.

Universal Health Services said the acquisition is intended to strengthen its outpatient and telehealth behavioral health offerings while expanding access to care. The combined capabilities are expected to create a nationally scaled continuum of behavioral healthcare services that integrates virtual and facility-based care.

The transaction is expected to be slightly accretive to Universal Health Services’ adjusted net income per diluted share within the first 12 months following closing, excluding one-time acquisition-related costs. The deal is projected to become increasingly accretive thereafter.

The acquisition has been unanimously approved by the boards of directors of both companies and is expected to close in the third quarter of 2026, subject to approval by Talkspace shareholders, regulatory approvals and other customary closing conditions.

Universal Health Services is headquartered in King of Prussia, Pennsylvania and operates one of the largest hospital and healthcare services networks in the United States, with more than 100,000 employees and hundreds of facilities and care sites. Talkspace provides therapy, psychiatric care and medication management through a secure web and mobile platform that allows patients to connect with licensed therapists through video, audio or messaging.
